Private Gaming Party Terms and Conditions

Regal Cinemas, Inc, its affiliates and subsidiaries, operate movie theater locations. You (“Customer”) desires to use an auditorium at a theater, (“Event Space”) for the purpose of playing a physical gaming console system, without Wi-Fi, (“Event”) and no other.
- Event Space.
Upon payment of the Licensee Fee (hereinafter defined), Regal shall grant to Customer a limited and revocable license (the "License") to use the Event Space for the Event. The License permits the Customer to use the Event Space only for the Event on the date of the event as set forth in the emails between the parties during the Event Hours (hereinafter defined), subject to, and upon all of the terms, covenants, and conditions contained in these terms and conditions. The License is not, under any circumstances, coupled with an interest in the Event Space or the Common Areas. Customer acknowledges and agrees that no more than thirty (30) individuals in the aggregate will occupy the Event Space. - Event Date and Event Time.
The Event will be held on the date and times agreed to in the Regal confirmation email to Customer (the "Event Date"). - Payment.
- Regal has no obligations and Customer has no rights under this Agreement until all fees are paid in full.
- Customer shall have the right occupy the Event Space designated by Regal for the Event for two and one-half (2 ½) hours (“Event Time”) at an amount given when confirmed with your Regal representative (“License Fee”). Additional time can be purchased beyond the two and one-half (2 ½) hours if set up at the time of the original payment. (“Additional Time”), subject to availability of the Event Space. The Event shall end promptly at the termination time and activities in progress will be stopped and attendees shall leave.
- Customer shall make payment to Regal via a PayPal invoice link at least seventy-two (72) hours prior to the Event Date. Failure to make the payment at least seventy-two (72) hours prior to the Event Date will result in release of the Event Date.
- Permitted Use.
Customer is authorized, pursuant to the License, to use the Event Space for the Event and for no other purpose. Failure to comply with this Section 4 is a breach of this Agreement and permits Regal to revoke the License.- Permitted Actions
- Before the Event, Regal highly suggests that Customer review the product details of its physical gaming console system. At the Event, Customer shall be allowed:
- up to thirty (30) individual attendees;
- to use one (1) physical gaming console system, subject to the restrictions listed below, that has an HDMI cable source. Regal does not provide gaming systems or games;
- to use up to one (1) physical gaming console systems at the Event; and
- to play games with ratings from the Entertainment Software Rating Board, or other appropriate organization, with an “E” for “Everyone.”
- Before the Event, Regal highly suggests that Customer review the product details of its physical gaming console system. At the Event, Customer shall be allowed:

- Before the Event, Regal highly suggests that Customer review the product details of the physical gaming console system. At the Event, Customer shall be prohibited from:
- using physical gaming console systems that function on an RGB, optical audio/video output, or any system that does not have HDMI input;
- using cameras, including on phones, to live stream or record for future showing of the Event on any online presence or with any online service, including Twitch, Facebook live, TikTok, YouTube or similar platforms;
- using any online content in any manner;
- conducting gaming tournaments for entry fees to participate or prizes;
- selling tickets to the Event;
- updating gaming equipment;
- using virtual reality (VR) gaming equipment;
- bringing outside food or drink into the Event Space is prohibited and can result in the loss of the License to use the Event Space on the Event Date. If Regal is notified in advance that the Event is for a birthday Customer may, with notice to management, bring cupcakes to the Event;
- entering into the projection booth;
- for any actions that require entrance into the projection booth, such as changing of game storage devices, will be subject to the reasonable efforts of the Regal staff. Customers are cautioned that given the limited amount of Event Time any change will limit the amount of game time;
- using gaming personal computers (PC) and laptops.
- Before the Event, Regal highly suggests that Customer review the product details of the physical gaming console system. At the Event, Customer shall be prohibited from:

- Cancellations.
Cancellation by Customer less than seventy-two (72) hours before the Event will result in the forfeiture of the all License Fee. - Revocation of License.
Regal may revoke the License at any time for things such as: (a) breach of this Agreement by Customer; or (b) conducting the Event in a manner that is being carried out in a dangerous, destructive or is disruptive to Regal’s other guests or business. Regal may retain all amounts paid to Regal (including but not limited to the License Fee, any deposit or other payment) as liquidated damages and not as a penalty. - Applicable Law.
This Agreement will be construed in accordance with, and governed in all respects by, the laws of the State of Tennessee, without regard to conflicts of laws principles. Customer voluntarily submits to the personal jurisdiction of the state courts located in Knox County, TN. Action to enforce or interpret the terms of these terms and conditions or the contract shall be brought in the state courts located in Knox County, TN. - Limitation of Liability.
REGAL’S LIABILITY SHALL BE LIMITED TO THE LESSER OF (A) THE AMOUNT OF THE ACTUAL DAMAGE INCURRED AND DETERMINED BY A COURT OF LAW TO BE RIGHTFULLY OWED TO CUSTOMER OR (B) THE CONSIDERATION PAID TO REGAL FOR THE LICENSEE FEE PAID FOR THE EVENT TIME WHEN THE DAMAGE OCCURRED. - Indemnification.
Customer shall indemnify and hold harmless Regal, its officers, directors, employees, agents, affiliates, successors, parents and subsidiaries from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including costs, professional fees, court costs and reasonable attorneys' fees, that are incurred by and awarded against Regal arising out of any first or third party claim(s) alleging:
- breach or non-fulfillment of any representation, warranty, or covenant under this Agreement by Regal, Regal’s personnel or subcontractors; or
- any negligent or more culpable act or omission of Regal, Regal’s personnel or subcontractors (including any reckless or willful misconduct) in connection with the performance of its obligations under this Agreement; or
- any bodily injury, death of any person, or damage to real or tangible personal property caused by the negligent or more culpable acts or omissions of Regal, Regal’s personnel or subcontractors (including any reckless or willful misconduct); or
- any failure by Customer, Customer’s personnel or subcontractors to comply with any applicable federal, state, or local laws, regulations, or codes in the performance of its obligations under this Agreement; or
- any violation of any party’s intellectual property rights, including all patents, rights to inventions, copyright and related rights, trade marks, business names and domain names, rights in trade dress, goodwill and the right to sue for infringement of unregistered rights, rights in designs, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how), and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.
- Entire Agreement.
These terms and conditions, the main Terms and Conditions of the main Regal web page, the Regal Privacy Policy, the reply email from Regal and Customers email acceptance constitutes the entire agreement between Regal and Customer and supersedes any prior understanding or representation of any kind preceding the date of this Agreement. Should any term or condition contained herein conflict with the main Regal Terms and Conditions and Privacy Policy these terms and conditions shall control. There are no other promises, conditions, understandings, or other agreements, whether oral or written, relating to the subject matter of this Agreement. There shall be no presumption of interpreting the terms and conditions against the drafter. Regal has the right to change or update these terms and conditions at anytime.
